Anthropic Pledges 5% of Shares to New Public Benefit Fund
Anthropic announced plans to dedicate 5% of its shares to a new Public Benefit Fund, with potential increases tied to the company's valuation, expanding its commitments to AI safety and public welfare.
Anthropic said it plans to dedicate 5% of its shares to a new Public Benefit Fund, with the stake able to grow as the company's valuation rises. The move expands the company's commitments to AI safety and public welfare. The commitment is subject to stockholder approval, and Anthropic says it will share more about the fund's governance in the coming months.
What Anthropic announced
| Term | Detail |
|---|---|
| Equity commitment | 5% of Anthropic's shares, subject to stockholder approval |
| Valuation escalator | The board may add 2% for every 50% increase in company value above a set baseline |
| Combined pledges | About 20% of shares, including founder and employee commitments, plus any valuation-based additions |
| Structure | Wholly owned LLC, not a 501(c)(3) |
| Limits | Fund equity cannot be used for lobbying or political giving, in the U.S. or abroad |
| Next steps | Governance and valuation milestones to be shared “in the coming months” |
Anthropic did not say what the baseline valuation is, so the dollar value of the 5% stake and the point at which the extra 2% steps would start are not yet known.
How the fund would work
The fund could support traditional nonprofits with large donations, make direct payments to affected populations, and back efforts that address AI's economic disruption. Anthropic has already committed $200 million to research on labor-market effects. It chose a wholly owned LLC over a 501(c)(3) because the structure allows more flexible funding approaches.
Anthropic said some public-benefit work will stay inside the company because it also has commercial value. That includes research on AI safety and interpretability, applied biomedical research, and discounted Claude access for nonprofits and scientific institutions.
How it adds up with existing pledges
Anthropic's co-founders pledged 80% of their equity at founding, and about half of employees take part in an equity donation match. Counting the new 5% on top of those, the company says roughly 20% of its shares will be dedicated to public benefit, with room to rise if the valuation escalator applies.
Why it matters for investors
For investors, the main questions are how the pledge interacts with the company's ownership and governance, which are still undisclosed, and whether stockholders approve it. We did not find details on the fund's control, voting rights or timeline for transferring shares. Anthropic is not publicly traded, so there is no share price to react to.
