Marvell to Buy Lumentum in $115B All-Stock Deal to Bring Optical Links to AI Data Centers
The fixed-ratio deal would give Lumentum holders 33% of the combined company, with more than $1B of targeted synergies and a close expected in the first half of 2028.
Marvell Technology (MRVL) agreed to acquire Lumentum Holdings (LITE) in an all-stock deal with an implied enterprise value of about $115 billion, combining Marvell's custom chips, networking and electrical interconnects with Lumentum's lasers, optical transceivers and optical switching. Each Lumentum share converts into 4.5 Marvell shares, which the companies value at roughly $1,132 per share, a 23.9% premium to unaffected closing prices on Oct. 28. Marvell Chairman and CEO Matt Murphy said "AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity."
Deal terms
| Term | Detail |
|---|---|
| Structure | All-stock; both boards unanimously approved; agreement signed Nov. 1, 2026 |
| Exchange ratio | 4.5 Marvell shares per Lumentum share; cash in lieu of fractional shares |
| Headline value | About $1,132 per Lumentum share, based on Oct. 28 prices |
| Ownership | About 67% Marvell holders, about 33% Lumentum holders, fully diluted |
| Leadership | Matt Murphy remains Chairman and CEO; three Lumentum directors, including CEO Michael Hurlston, join Marvell's seven-member board |
| Synergies | More than $1B in annual run-rate cost synergies, primarily in cost of goods sold |
| EPS impact | Expected to be accretive to Marvell's non-GAAP EPS in the first year after closing |
| Expected close | First half of calendar 2028 |
The companies said the combination would expand their addressable market to about $550 billion by 2030, compared with roughly $400 billion for Marvell and more than $90 billion for Lumentum alone. They also expect it to improve long-term revenue growth and non-GAAP gross and operating margins.
Why optical, and why now
Marvell sells custom AI chips, networking silicon and electrical interconnects for data centers. Lumentum makes the lasers, transceivers and optical circuit switches that move data between racks and clusters as AI systems grow. Combining the two lets Marvell offer both electrical and optical connectivity, which the companies say will support faster and more energy-efficient AI data centers. The combined company in numbers
| Non-GAAP, based on fiscal Q3 2027 guidance | Marvell | Lumentum | Pro forma |
|---|---|---|---|
| Annualized revenue | $12.6B | $5.1B | $17.7B |
| Gross margin | 58% | 53% | 57% |
| Operating margin | 37% | 42% | 39% |
The companies put the combined enterprise value at more than $275 billion based on Oct. 30 figures. The revenue figures are annualized: $12.6 billion is four times Marvell's $3.15 billion fiscal third-quarter guidance midpoint, by our calculation. Marvell also said preliminary fiscal third-quarter revenue is consistent with its prior guidance, maintained the midpoint and narrowed the range to plus or minus 2% from plus or minus 5%.
Lumentum's own results

| Non-GAAP diluted EPS | $4.57 | $5.90 to $6.20 |
| GAAP diluted EPS | $3.54 | Not given |
Hurlston said the company delivered growth across all its businesses.
What the fixed ratio means for the price
Because the deal is all-stock with a fixed ratio, the value Lumentum holders receive moves with Marvell's share price. The $1,132 headline figure uses Oct. 28 prices, when Marvell closed at $251.65 and Lumentum at $913.95.
| Date | Marvell | Lumentum | 4.5 x Marvell, by our calculation |
|---|---|---|---|
| Oct. 28 close | $251.65 | $913.95 | About $1,132 |
| Oct. 30 close | $196.40 | $840.70 | About $884 |
By our calculation, Marvell shares fell about 22% between Oct. 28 and Oct. 30 and Lumentum shares about 8%, so the ratio implied roughly $884 per Lumentum share at Friday's close, about 5% above where Lumentum finished. In premarket trading Monday, Marvell was up nearly 1% and Lumentum down nearly 1%. Prices will change through the session.
